GraderIQ, Inc. (“GraderIQ,” “We,” or “Us”) offers the GraderIQ website and mobile application (collectively, the “App”), and the information, materials, services, and other content available on or through the App (collectively, “Content”), subject to these Terms of Use (these “Terms”).

By creating a GraderIQ account (“Account”) or otherwise using the App, you agree to be bound by these Terms. If you do not agree, you should not create or use an Account or otherwise access the App.

PLEASE BE ADVISED: These Terms contain provisions that govern how claims you and GraderIQ have against each other are resolved, including (i) limitations of liability and disclaimers, and (ii) mandatory arbitration and waiver of class actions and jury trials.

1. Eligibility & Age Restrictions

The App is intended for individuals 13 years of age or older. By using the App, you represent that you are at least 13 years old. If you are under 18, you must have permission from a parent or legal guardian to use the App.

GraderIQ does not knowingly collect or solicit personal information from children under 13. If we learn that we have collected such information, we will delete it promptly.

2. Accounts, Subscriptions, and Termination

Free Accounts

GraderIQ offers a free version of the App that allows five (5) card scans per month per Account. Abuse of this limitation (including creating multiple accounts to circumvent limits) may result in suspension or termination.

Paid Subscriptions

To access premium features, you may purchase a Monthly Subscription or an Annual Subscription.

Monthly Subscription: Recurring monthly fee, billed on the same day each month until canceled.

Annual Subscription: Recurring annual fee, billed on the same date each year until canceled.

Subscriptions may include a free trial period. Unless canceled before the end of the trial, your payment method will be charged at the then-current rate, and your subscription will automatically renew.

By purchasing a subscription, you authorize GraderIQ to charge your payment method for the applicable fee and taxes on a recurring basis until you cancel.

Termination

We may suspend or terminate your Account at any time if you violate these Terms, abuse the free tier, misuse AI results, or engage in prohibited activity. No refunds will be issued upon termination.

If GraderIQ ceases operations or discontinues the Service, your Account will be terminated, and all personal data will be deleted within a commercially reasonable period. We will have no obligation to maintain or provide access to your data after termination.

Refund Policy

All subscription fees are non-refundable, except as required by applicable law or app store policy.

3. No Official Grading

GraderIQ provides AI-powered pre-grading estimates only.

GraderIQ is not a grading company.

Results are not official grades and must not be represented as such.

GraderIQ is not affiliated with PSA, BGS, SGC, CGC, or any other grading company.

Any decision to buy, sell, submit, or not submit cards for professional grading is your sole responsibility.

4. AI & Accuracy Disclaimers

AI results provided by GraderIQ are statistical estimates only and may be inaccurate, incomplete, or differ substantially from professional grading companies.

You acknowledge and agree that:

Results are estimates, not guarantees.

GraderIQ does not warrant accuracy or reliability.

You assume full responsibility for any reliance on AI results.

5. No Financial, Investment, or Appraisal Advice

GraderIQ does not provide financial, investment, appraisal, valuation, or resale advice.

Nothing in the App constitutes financial or investment advice, nor an appraisal of value. Any actions you take involving buying, selling, pricing, insuring, or grading cards are made entirely at your own discretion and risk.

6. Model Evolution & Result Variability

You acknowledge that:

AI models may evolve, update, or change over time.

Results for the same card may differ across scans or over time.

Past estimates do not guarantee future estimates or outcomes.

GraderIQ makes no guarantee of consistency between results.

7. User Content & Data

By uploading card images, entering card details, or using the App, you grant GraderIQ a worldwide, royalty-free, irrevocable license to use, store, analyze, reproduce, and process your content to:

Provide App functionality

Improve and train AI systems

Generate anonymized and aggregated analytics

You retain ownership of your content, but acknowledge GraderIQ may use it for product development and AI training.

Image Quality Disclaimer

Results depend heavily on image quality, lighting, angles, and accuracy of uploaded data. GraderIQ is not responsible for inaccurate estimates caused by poor-quality, manipulated, incomplete, or misleading inputs.

8. Prohibited Uses

You agree not to:

Misrepresent GraderIQ results as official grades

Use AI estimates in fraudulent sales, auctions, or marketing

Upload content you do not own or have rights to

Reverse engineer, scrape, or interfere with the App

Violate laws or third-party rights

9. Site and Content “As Is”

The App and Content are provided “as is” without warranties of any kind. GraderIQ disclaims all warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not guarantee uninterrupted service, error-free operation, or secure transmission of data.

10. Limitation of Liability

YOUR EXCLUSIVE REMEDY IS TO STOP USING THE APP.

To the maximum extent permitted by law, GraderIQ is not liable for:

Direct, indirect, incidental, consequential, punitive, or exemplary damages

Loss of profits, market value, resale value, or sentimental value

Claims arising from reliance on AI estimates

Service interruptions caused by third parties or force majeure events

Liability Cap

GraderIQ’s total liability for any claim shall not exceed the greater of:

The amount paid by you to GraderIQ in the prior twelve (12) months, or

$100 USD

11. Force Majeure

GraderIQ is not responsible for failure to perform due to events beyond our reasonable control, including natural disasters, cyberattacks, power failures, strikes, or hosting provider outages.

12. Indemnification

You agree to indemnify and hold harmless GraderIQ, its affiliates, officers, employees, and partners from any claims, losses, or damages arising from your misuse of the App, violation of these Terms, or reliance on AI results.

13. Dispute Resolution & Arbitration

Any dispute shall be resolved by binding arbitration or small claims court.

Arbitration governed by the American Arbitration Association (AAA)

No class actions or jury trials

Opt-out available within 30 days by emailing info@graderiq.com

14. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules.

15. International Use

The App is intended for users in the United States. Users accessing the App from other jurisdictions do so at their own risk and are responsible for compliance with local laws.

16. Survival

Sections relating to disclaimers, limitation of liability, arbitration, indemnification, governing law, and intellectual property shall survive termination of your Account.

17. Miscellaneous

These Terms constitute the full agreement between you and GraderIQ.

If any provision is unenforceable, the remainder shall remain in effect.

Users may not assign rights without written consent.
